AFFILIATE TERMS AND CONDITIONS

1. Introduction

These Affiliate Terms and Conditions ("Agreement") govern your participation in the Simvoy Affiliate Program ("Program"). By applying to or participating in the Program, you agree to be bound by these terms. Simvoy reserves the right to modify these terms at any time with notice to active affiliates.

2. Eligibility

To participate in the Simvoy Affiliate Program, you must:

• Be at least 18 years of age
• Have a valid email address and payment method
• Own or operate a website, blog, social media account, or other digital platform
• Comply with all applicable laws and regulations
• Not engage in fraudulent, deceptive, or unethical practices

Simvoy reserves the right to accept or reject any affiliate application at its sole discretion.

3. Commission Structure

Affiliates earn commissions based on a tiered structure determined by monthly sales volume:

Tiers are calculated based on the previous 30 days of sales and are updated periodically. Commission rates apply to the net sale amount (excluding taxes, shipping, and refunds).

4. 2-Tier Referral Bonus

Affiliates can earn an additional 2% bonus on sales made by other affiliates they refer to the program:

• Share your unique affiliate referral link to recruit new affiliates
• When your referred affiliate makes sales, you earn 2% of those sales as a bonus
• Referral bonuses are tracked separately from regular commissions
• The 2% bonus is calculated on the sale amount, not the referred affiliate's commission

5. Cookie Duration & Attribution

Simvoy uses a 30-day cookie tracking period. This means you will receive credit for any purchase made within 30 days of a customer clicking your affiliate link. If a customer clicks multiple affiliate links, the last click before purchase will receive the commission (last-click attribution).

6. Payment Terms

Commissions are subject to the following payment terms:

• Minimum payout threshold: $50 USD
• Payment methods: PayPal, bank transfer, or other methods as offered
• Payment schedule: Monthly, processed within 15 days of month-end
• Commissions are held for 30 days to account for potential refunds
• You are responsible for any taxes on affiliate income

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination:

• Self-referrals or purchasing through your own affiliate link
• Using paid search ads that bid on "Simvoy" or related brand terms
• Cookie stuffing, click fraud, or artificial traffic generation
• Misrepresenting Simvoy products, services, or pricing
• Sending unsolicited emails (spam) containing affiliate links
• Creating fake reviews or testimonials
• Using coupon or deal sites without prior approval
• Any illegal, unethical, or deceptive marketing practices

8. Promotional Guidelines

When promoting Simvoy, affiliates must:

• Clearly disclose the affiliate relationship (e.g., "affiliate link" or "I may earn a commission")
• Use only approved marketing materials or create original content
• Accurately represent Simvoy's products, pricing, and features
• Comply with FTC guidelines and local advertising regulations
• Not make false claims about eSIM performance or coverage

9. Intellectual Property

Simvoy grants affiliates a limited, non-exclusive license to use Simvoy's name, logo, and approved marketing materials solely for the purpose of promoting Simvoy products. You may not modify Simvoy's trademarks or create derivative works without written permission. All intellectual property rights remain with Simvoy.

10. Termination

Either party may terminate this agreement at any time:

• Simvoy may terminate for violation of these terms, inactivity, or at its discretion
• Affiliates may terminate by contacting support or deactivating their account
• Upon termination, pending commissions above the minimum threshold will be paid
• Commissions for fraudulent or refunded orders will be forfeited

11. Limitation of Liability

Simvoy is not liable for any indirect, incidental, or consequential damages arising from your participation in the affiliate program. Our total liability shall not exceed the commissions earned by you in the 12 months preceding any claim. The affiliate program is provided "as is" without warranties of any kind.

12. Modifications

Simvoy reserves the right to modify these terms, commission rates, or program structure at any time. Active affiliates will be notified of material changes via email. Continued participation after changes constitutes acceptance of the modified terms.
